These Terms of Service govern your use of On First Call's AI-powered call answering platform. By subscribing to or using our service, you agree to these terms. Please read them carefully — they contain important information about your rights and obligations as a Client.

On First Call is offered on a subscription basis. Your subscription plan, pricing, included call volume, and billing frequency will be specified at time of signup and in your account dashboard.

7. Intellectual Property

On First Call retains all rights to our platform, technology, AI models, and branding. Your business data, call logs, and summaries generated from your calls belong to you. You grant On First Call a limited license to process your data solely to deliver the service and, in anonymized/aggregated form, to improve our systems.

8. Confidentiality

Each party agrees to keep the other's confidential business information private and not to disclose it to third parties without consent. Your caller data and call contents are confidential and will not be shared outside of delivering the service to you, except as required by law.

9. Service Availability

We target high availability for our platform and will communicate scheduled maintenance in advance. Unplanned outages may occur. On First Call is not liable for losses arising from service interruptions. If you experience sustained outages, contact us — we will work to resolve them promptly and may provide service credits at our discretion.

10. Disclaimers

The service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that every call will be handled perfectly.

11. Limitation of Liability

To the fullest extent permitted by law, On First Call's total liability to you for any claim arising from these terms or your use of the service shall not exceed the total fees paid by you in the three months preceding the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages, including lost revenue, lost bookings, or reputational harm, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless On First Call and its officers, directors, employees, and agents from any claims, losses, damages, and expenses (including reasonable legal fees) arising from: your use of the service; your violation of these terms; your non-compliance with applicable laws; or your business practices.

13. Term and Termination

These terms begin when you subscribe and continue until your subscription is terminated. Either party may terminate with notice as specified in your subscription plan. We may immediately suspend or terminate your account for material breach of these terms, non-payment, or use that poses legal or reputational risk to On First Call. Upon termination, you lose access to the platform, and we will retain and then delete your data in accordance with our Privacy Policy.

14. Modifications

We may update these terms from time to time. Material changes will be communicated by email to active Clients at least 14 days before taking effect. Your continued use of the service after the effective date constitutes acceptance. If you do not agree to the updated terms, you may cancel your subscription before they take effect.

15. Governing Law and Disputes

These terms are governed by the laws of the State of [State], without regard to conflict of law principles. Any dispute arising from these terms or the service shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
